Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Teamfluence OÜ ("AdFairly," "we," "us," or "our"), including our websites at adfairly.eu and adfair.eu, and all related tools and features (collectively, the "Services").

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

1.1 You must be at least 18 years old to use the Services.

1.2 You represent that you have the authority to bind yourself and, if applicable, your organization to these Terms.

2. Account Registration

2.1 To use the Services, you must create an account and provide accurate and current information.

2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2.3 You must notify us immediately of any unauthorized use of your account.

3. Description of Services

3.1 AdFairly provides a web-based platform that helps organizations comply with EU Regulation 2024/900 (TTPA). The Services include content risk assessment, transparency note creation and hosting, sponsor data collection, and audit trail management.

3.2 AdFairly is an independent product. It is not endorsed by or affiliated with any EU institution.

4. Permitted Use and Restrictions

4.1 You may use the Services solely for lawful purposes in accordance with these Terms.

4.2 You agree not to:

(a) use the Services for any unlawful purpose;

(b) attempt to reverse-engineer, decompile, or disassemble the Services;

(d) share your account credentials with third parties;

(e) interfere with or disrupt the integrity or performance of the Services.

5. Subscription and Payment

5.1 Access to certain features requires a paid subscription. Plans and pricing are published at adfairly.eu.

5.2 All fees are exclusive of applicable taxes. You are responsible for any taxes imposed on your subscription.

5.3 We reserve the right to change pricing with at least 30 days' prior notice.

6. Cancellation

6.1 You may cancel your subscription at any time through your account settings or by contacting hello@adfairly.eu.

6.2 Cancellation takes effect at the end of the current billing period.

6.3 No refunds are provided for partial billing periods, unless required by applicable law.

7. Intellectual Property

7.1 All rights, title, and interest in the Services remain with Teamfluence OÜ and its licensors.

7.2 We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for the duration of your subscription.

7.3 You retain all rights to the data you input into the Services.

8. Availability

8.1 We aim to provide the Services with reasonable availability but do not guarantee uninterrupted or error-free operation.

8.2 We reserve the right to modify, update, or discontinue any feature with reasonable advance notice.

9. Limitation of Liability

9.1 Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

9.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by applicable law.

10. Indemnification

You agree to indemnify and hold harmless Teamfluence OÜ from any claims, liabilities, damages, losses, and expenses arising from your use of the Services in violation of these Terms or any applicable law.

11. Suspension and Termination

11.1 We may suspend or restrict your access if you are in material breach of these Terms, or if required by law.

11.2 Either party may terminate these Terms at any time by providing written notice.

12. Changes to These Terms

12.1 We may update these Terms from time to time. For material changes, we will provide at least 30 days' prior notice.

12.2 Your continued use of the Services after the updated Terms take effect constitutes acceptance.

13. Governing Law and Dispute Resolution

13.1 These Terms are governed by the laws of the Republic of Estonia.

13.2 Any disputes shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Estonia, unless mandatory provisions of your local law provide otherwise.

13.3 Before initiating legal proceedings, the parties agree to attempt to resolve disputes in good faith for at least 30 days.

14. Miscellaneous

14.1 These Terms, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Teamfluence OÜ regarding the Services.

14.2 If any provision is held invalid, the remaining provisions continue in full force.

14.3 You may not assign your rights under these Terms without our prior written consent.
